Payor's Authorization for Pre-authorized Debits (PADS)

I acknowledge that Wells Fargo Bank N.A. ("Wells Fargo") holds an account with Royal Bank of Canada for the benefit of PayPal, and that Wells Fargo acts as PayPal"s payment processing representative for the transactions contemplated by this Payor's Authorization for PADS (the "Authorization").

I acknowledge that this Authorization is provided for the benefit of PayPal and is provided in consideration of my financial institution agreeing to process debits against my account, as listed above (the "Account"), in accordance with the Rules of the Canadian Payments Association ("CPA").

I warrant and guarantee that I am the person that can authorize withdrawals from the Account.

I hereby authorize PayPal to issue pre-authorized debits drawn on the Account, for purposes of my personal use ("PADs").

I understand that removing my bank account from the PayPal system does not cancel pending transfers that I have already initiated and authorized; however, I may cancel the Authorization for future transactions at any time by removing my bank account from the PayPal system through the "Profile" tab available after logging in at the PayPal website.

I acknowledge that to add an Account to the PayPal system for PADs, I must confirm my Account through PayPal's three-step bank account ownership confirmation process as described at https://www.paypal.com/row/cgi-bin/webscr?cmd=p/dmo/demo_rd_1 (the "Confirmation Process").

I acknowledge that to subsequently initiate sporadic payment frequency PADs, I must enter a valid PayPal user ID and password at login. This shall constitute valid authorization for my financial institution to debit the Account. At my request, and at the times I choose, PayPal may issue PADs sporadically in a dollar amount that I indicate, up to a maximum of $200,000.00 CAD.

Because I will initiate each transaction and will control the amount of each PAD, I waive the right to receive advance notice from PayPal of the payment amount to be debited from my Account before the payment date of PADs drawn on the Account.

I acknowledge that, by providing and delivering this authorization to PayPal, I also authorize PayPal to deliver this authorization to my financial institution.

I acknowledge that my financial institution is not required to verify that a PAD has been issued in accordance with the particulars of the Authorization including, but not limited to, the amount, or that any purpose of payment for which the PAD was issued has been fulfilled by PayPal as a condition to honouring a PAD issued or caused to be issued by PayPal on the Account.

Revocation of the Authorization does not terminate any contract for services that exists between PayPal and me. The Authorization applies only to the method of payment and does not otherwise have any bearing on the contract for services exchanged.

I may dispute a PAD only under the following conditions:
The PAD was not drawn in accordance with the Authorization

The Authorization was revoked

I acknowledge that in order to be reimbursed, a declaration to the effect that either (i) or (ii) took place must be completed and presented to the branch of my financial institution holding the Account up to and including 90 calendar days after the date on which the PAD in dispute was posted to the Account. If there is a change in my Account details, I acknowledge my obligation to indicate the change by removing my Account details from the PayPal system and, if I want to continue using the Account for PADs, by adding the revised Account through the "Profile" tab. If I choose to add the revised Account, I acknowledge that I will need to re-confirm the Account using the PayPal Confirmation Process.

I acknowledge that the dispute of any PAD beyond the time allowed in this section is a matter to be resolved solely between me and PayPal.

I agree that the information contained in the Authorization may be disclosed to Royal Bank of Canada and/or Wells Fargo as required to complete any PAD transaction.
